    • Change Price cap added, subject to Employer’s risks materialising after 1st October 2022., Need for modification brought about by circumstances which a diligent contracting authority/entity could not foresee: On the first condition, the reasoning is that this is an experimental project, which explains the unforeseen circumstance (significant cost overruns due to the experimental nature of the project) and that is the principal purpose of a Target Cost Contract. This certainty obtained through the price cap would not have been possible initially, due to the aggregate risks inherent to the experimental nature of the project. On the second condition, adding a cap does not alter the overall nature of the contract, as the contractor is still providing services in relation to the design and procurement, manufacture, delivery, installation and commissioning of CHIMERA. On the third condition, the reasoning is that adding a price cap does not carry any increase in price.
